Valuation Issues for Startups Workshop

The market for early-stage capital is constantly changing and entrepreneurs seeking

capital need to be sure that the offering terms resonate with today’s investors. The
session with Gregg Ficery, founder and president of Integgra Valuation & Advisory
Services, discusses the key business and financial issues an entrepreneur needs to
consider to conduct a successful capital raise and subsequent determination of a fair
market value strike price when issuing stock options under IRS 409A regulations.
The presentation will include war stories from early-stage companies, and the session
will be interactive, so bring your questions.
  • How much money to raise
    • Choosing a financial instrument (preferred stock, convertible notes, SAFE notes)
  • How to set the pre-money valuation
  • Terms within preferred stock and their effect on valuation (liquidation preference, participating/non-participating shares, caps, dividends)
  • Pricing options post funding

Gregg Ficery is President of Integgra Advisory Services, which he founded in 2011. He has over 15 years of business valuation consulting experience and has valued over 600 private companies. He also has over 10 years of industry experience in the technology, telecommunications, and financial services sectors in finance, accounting, and corporate development roles.

Prior to founding Integgra, Gregg held a Director position at SVB Analytics, a subsidiary of Silicon Valley Bank, where he led over 150 valuation engagements advising early stage private technology companies for the purpose of determining stock option pricing for IRC 409A and SFAS 123R compliance.
